Software Access and Terms of Service Agreement

1. Acceptance of Terms

By creating an account, clicking “I Agree,” logging in, accessing, or using ProductionBoard.Live, you agree to be legally bound by this Software Access and Terms of Service Agreement.

2. Hosted Software Access License

ProductionBoard.Live provides hosted Software-as-a-Service access only. Customer receives a limited, non-exclusive, non-transferable, revocable, subscription-based right to access and use the platform solely for internal business operations.

3. No Ownership Transfer

The platform is licensed, not sold. No ownership rights, source code rights, database ownership, resale rights, or development rights are transferred to Customer.

4. Intellectual Property

ProductionBoard.Live retains all rights in the platform, including software, workflows, calculations, business logic, automation methods, user interface designs, reports, database architecture, trade secrets, APIs, documentation, branding, and proprietary processes.

5. Prohibited Uses

Customer may not reverse engineer, copy, reproduce, scrape, emulate, clone, benchmark for competitive development, create derivative systems, share credentials, sublicense access, or attempt to discover source code or proprietary business logic.

6. Anti-Competitive Use

Customer may not use the platform to build, assist, train, design, develop, or improve any competing software, workflow system, SaaS platform, production board, scheduling system, or derivative product.

7. Account Sharing

Accounts are for authorized users only. Customer may not share, sell, transfer, or distribute login credentials or permit unauthorized third-party access.

8. Customer Data

Customer retains ownership of submitted business data, including orders, customer records, uploaded files, artwork, notes, and production information. Customer grants ProductionBoard.Live a limited license to host, store, process, display, transmit, and back up Customer Data as necessary to operate the platform.

9. Confidentiality

Customer agrees to keep confidential all non-public platform features, workflows, methods, screenshots, demonstrations, pilot access, beta features, and operational logic.

10. Employee, Contractor, and Demo Access

Customer is responsible for all employees, contractors, consultants, agents, demo users, and authorized representatives who access or view the platform. Demonstrations, previews, screen shares, and pilot programs are confidential.

11. API Usage

If API access is provided, Customer may not exceed limits, scrape data, redistribute API access, bypass intended workflows, or use APIs to replicate backend logic.

12. Acceptable Use

Customer may not use the platform unlawfully, fraudulently, abusively, maliciously, or in a way that disrupts, damages, overloads, or compromises the platform.

13. Subscription, Billing, Suspension, and Termination

Access may require recurring subscription fees. Failure to pay, unauthorized sharing, misuse, reverse engineering attempts, competitive misuse, or violation of this agreement may result in suspension or termination.

14. Backup and Disaster Disclaimer

ProductionBoard.Live may maintain backups but does not guarantee uninterrupted service, complete restoration, or prevention of data loss. Customer remains responsible for maintaining independent backups of critical business data.

15. Data Export Policy

Customer may request reasonable export access to Customer Data in available formats while the account is active and current. ProductionBoard.Live is not required to provide source code, proprietary schemas, database structures, trade secrets, or internal software logic.

16. Warranty Disclaimer

The platform is provided “AS IS” and “AS AVAILABLE” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted availability.

17. Limitation of Liability

ProductionBoard.Live shall not be liable for lost profits, lost revenue, business interruption, production delays, missed deadlines, data loss, indirect damages, incidental damages, special damages, or consequential damages. Total liability shall not exceed the fees paid by Customer during the three months preceding the claim.

18. Indemnification

Customer agrees to indemnify and hold ProductionBoard.Live harmless from claims arising from Customer Data, misuse, unlawful conduct, intellectual property violations, unauthorized access, or violation of this agreement.

19. Governing Law

This agreement is governed by the laws of the State of Florida. Venue shall lie exclusively in Seminole County, Florida.

20. Changes to Terms

ProductionBoard.Live may update these terms. Continued access after updated terms become effective constitutes acceptance of the revised terms.
